Please read these terms carefully. By using PlatoOS you agree to be bound by them.

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and PlatoOS and govern your access to and use of the PlatoOS website and products, including Plato Reserve, Plato Orders and Plato Menu (the "Services"). By creating an account or using the Services you agree to these Terms.
2. Eligibility and accounts
You must be at least 18 years old and authorised to bind your business. You are responsible for the activity on your account, for keeping credentials secure, and for ensuring your team's compliance with these Terms.
3. Your content and customer data
You retain all rights to the data you upload or process through the Services ("Customer Data"). You grant PlatoOS a limited licence to host, process and transmit Customer Data solely to provide and improve the Services. You are responsible for the lawfulness of Customer Data and for obtaining any necessary consents from your diners and customers.
4. Acceptable use
- Do not misuse the Services, attempt to disrupt them, or access them by unauthorised means.
- Do not upload unlawful, infringing, deceptive or harmful content.
- Do not use the Services to send spam or unsolicited marketing in violation of law.
5. Subscriptions, fees and payment
Fees, billing frequency and included usage are described at sign-up or in your order form. Fees are non-refundable except where required by law. We may change fees on renewal with reasonable notice.
6. Third-party services
The Services may integrate with third parties (e.g. payment processors, marketing platforms). Your use of those services is governed by their own terms and we are not responsible for them.
7. Intellectual property
PlatoOS and its licensors own all rights in the Services, including software, designs, trademarks and content. We grant you a non-exclusive, non-transferable right to use the Services during your subscription.
8. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and will only use it to perform under these Terms.
9. Warranties and disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages. Our aggregate liability under these Terms will not exceed the fees you paid us in the 12 months preceding the claim.
11. Indemnity
You will defend and indemnify PlatoOS against claims arising from your Customer Data or your use of the Services in breach of these Terms.
12. Suspension and termination
We may suspend or terminate access for material breach of these Terms or to protect the Services. You may cancel your subscription at any time from your account settings. On termination, your right to use the Services ends and we may delete Customer Data after a reasonable grace period.
13. Changes to the Services or Terms
We may modify the Services and these Terms. Material changes will be notified through the Services or by email. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes, except where mandatory consumer law provides otherwise.
